  • of the association "Friends and Supporters of the Primary School at the Brandenburg Gate e.V." General Provisions § 1 Name, Registered Office, Fiscal Year
  • The association bears the name: "Friends and Supporters of the Primary School at the Brandenburg Gate". It shall be entered in the register of associations at the Charlottenburg Local Court. After registration, it shall bear the suffix "e.V." (registered association).
  • The registered office of the association is located at the Primary School at the Brandenburg Gate (10th Primary School, Mitte), Wilhelmstr. 52, 10117 Berlin-Mitte.
  • The fiscal year is the calendar year. II. Principles § 2 Purpose of the Association The purpose of the association is the promotion of education, in particular through the non-material and financial support of the Primary School at the Brandenburg Gate. The purpose of the statutes is realized in particular through the procurement of funds through membership fees and donations. The funds are used for the implementation of interest groups and working groups in the technical, artistic, and sporting fields, as well as for supporting the organization of school festivals. § 3 Non-Profit Status
  • The association serves exclusively and directly non-profit purposes within the meaning of Sections 51 et seq. of the German Fiscal Code. The association operates on a non-profit basis and does not pursue any commercial purposes. The association's funds may only be used for its stated purposes. Members of the association do not receive any share of profits, nor any other financial benefits from the association's funds by virtue of their membership. No person may receive benefits that are unrelated to the association's purpose or are disproportionately high. III. Membership § 4 Members Natural or legal persons who declare their willingness to actively or materially support the association's purposes may become members of the association. § 5 Acquisition of Membership
  • Membership is applied for by submitting an informal written declaration to the association's board, which also decides on admission.
  • Persons who have rendered outstanding service in supporting the association's purpose may be appointed honorary members upon the recommendation of the board and by resolution of the general meeting.
  • Natural or legal persons who wish to support the association through regular donations or services may apply to the board for membership as supporting members. The board decides on admission as supporting members. Section 6 Termination of Membership 1. Membership terminates through:
  • voluntary resignation
  • death of the member
  • expulsion from the association
  • removal from the membership list 2. Voluntary resignation is possible at any time and must be declared in writing to the board. 3. A member may be expelled from the association by a resolution of the board if there is a compelling reason. Grounds for expulsion include, in particular:
  • serious violations of the statutes, objectives, and interests of the association, as well as resolutions of the association's bodies
  • dishonorable conduct within and outside the association 4. Members who have not paid their dues after receiving a reminder by the end of the calendar year may be removed from the membership list by a resolution of the board. 5. Individual members have no claim to any share of the association's assets. They also have no claim to a refund of their annual dues. Section 7 Membership Dues 1. Members are obligated to pay dues. The amount and method of payment are determined by the general meeting. 2. Honorary members of the association are exempt from paying membership dues. 3. Supporting members pay the amount they pledged in their application for membership. IV. Organization of the Association § 8 General Meeting 1. The General Meeting is the supreme body of the association. It consists of all members. 2. In the General Meeting of the association, each honorary member or member has one valid vote. Proxy voting is not permitted. 3. The General Meeting convenes at least once a year. Notice of the meeting must be given in writing at least 14 days before the meeting date and must include the agenda. The deadline is met if the invitation is sent 14 days before the meeting date. 4. The General Meeting is chaired by the Chairperson, who may be represented by a member of the Executive Board. 5. Minutes must be taken of the proceedings of the General Meeting and the resolutions passed. These minutes must be signed by the Chairperson and the Secretary. The minutes are available for inspection by the members at the association's office. 6. Resolutions of the General Meeting are generally passed by a simple majority of votes; amendments to the articles of association require a three-quarters majority of the votes cast by the members present. Amendments to the statutes that affect the purpose of the association must be approved by all members of the association. Written declarations of consent are permitted. 7. Every members' meeting convened in due time and form constitutes a quorum regardless of the number of members present. 8. Upon written request from at least one-third of the members, the board must convene an extraordinary members' meeting. The members' request must specify the desired agenda item. § 9 Tasks of the Members' Meeting 1. The members' meeting, as the supreme decision-making body of the association, is responsible for all tasks unless specific tasks have been assigned to another body of the association in accordance with these statutes. 2. The members' meeting elects the board from among its members by direct, open ballot. Those persons who receive the most votes are elected. If none of the teaching staff candidates receives the required number of votes for election to the board, the teaching staff candidate with the highest number of votes is considered elected to the board. 3. The general meeting may remove members of the board. This requires a majority vote of all club members. 4. The general meeting is responsible for:
  • receiving the board's activity report, the financial report, and the auditors' report, and discussing them;
  • discharging the board;
  • electing the board;
  • electing two auditors who are not members of the board;
  • amending the statutes;
  • motions from members;
  • dissolving the club;
  • setting the amount of the minimum annual membership fee;
  • discussing proposals, presentations, and tasks that serve the club's objectives, reporting on them, and making the necessary decisions, provided the board deems the participation of the general meeting necessary. § 10 Board of Directors 1. The club's board of directors consists of at least four members. The general meeting decides on the number of board members before each election. At least one board member must be a member of the teaching staff. The board of directors of the sponsoring association elects from among its members:
  • the chairperson
  • the deputy chairperson
  • the treasurer
  • the secretary. 2. The board of directors within the meaning of Section 26 of the German Civil Code (BGB) consists of the chairperson, the deputy chairperson, the treasurer, and the secretary, any two of whom are jointly authorized to represent the association in and out of court. 3. The board members of the association are elected by the general meeting for a term of two years. Re-election is permitted. The incumbent board members remain in office after the expiration of their term until successors are elected. 4. The board members serve on a voluntary basis. 5. The board meets regularly. It manages the association according to the principles stated in Chapter II of these bylaws. 6. The board decides on all association matters, unless a resolution of the general meeting is required. 7. The board has a quorum when half of its members are present. Resolutions require a simple majority. In the event of a tie, the chairperson's vote decides. 8. The Executive Board may, on its own initiative, make amendments to the bylaws that are required by supervisory, judicial, or financial authorities for formal reasons. These amendments must be reported to the next General Meeting. 9. Minutes will be taken at every Executive Board meeting and must be signed by the respective meeting chair and the secretary. The minutes are available for review by the members. Section 11 Resignation of an Executive Board Member 1. If an Executive Board member resigns, the Executive Board may appoint a member of the association as a temporary replacement. At least three members of the Executive Board must be elected by the General Meeting. If this number is not met, the elected Executive Board members must convene a General Meeting to elect replacements or a new Executive Board. 2. Membership in the association automatically terminates any office held on the Executive Board. Section 12 Responsibilities of the Executive Board The Executive Board is responsible for managing the association and conducting its business. It is responsible for those administrative tasks that are not expressly assigned to another body of the association by the bylaws. His duties include, in particular: 1. preparing and convening the general meeting and drawing up the agenda; 2. implementing the resolutions of the general meeting; 3. developing and submitting the task plan for the new fiscal year; 4. maintaining the accounts; 5. preparing the annual reports; 6. discussing proposals, presentations, and tasks that serve the objectives of the association, as well as the reports thereon; the association decides on the participation of the general meeting in deliberations and decisions regarding these matters. Section 13 Auditing 1. The general meeting elects two auditors who may not be members of the board. 2. At the end of each fiscal year, the auditors examine the accounts and cash management of the association. They report on this to the board and the next general meeting. Section 14 Dissolution of the Association 1. The dissolution of the association can only be decided by a general meeting convened for this purpose. 2. The resolution to dissolve the association requires a three-quarters majority of the voting members of the association present. Section 15 Remaining Assets Upon dissolution of the association or in the event of the loss of its tax-exempt status, its assets shall be transferred to the Brandenburg Gate Elementary School, which shall use them directly and exclusively for tax-exempt purposes. Section 16 Jurisdiction The place of jurisdiction is the local court responsible for the location where the association is headquartered. Section 17 Entry into Force These bylaws were adopted by the founding members on May 6, 2003. The bylaws shall enter into force upon registration in the register of associations.

Since 2003, the school has had the association "Friends and Supporters of the Primary School at the Brandenburg Gate", which has made it its mission to support the school in its efforts to provide a varied curriculum and leisure program.

In close cooperation with the school, we want to help create an atmosphere where learning is fun – so that education and knowledge have positive associations for children from the very beginning. Our goal is to give all children a good start and thus contribute to equal opportunities.

With your help, we want to make learning and life at the Brandenburg Gate Primary School even more diverse in the future, so that we can address the individual needs of our students even more effectively. In particular, we want to foster creativity, independence, and social skills, offer suggestions for meaningful leisure activities, and create a welcoming and comfortable school environment!

What do I need to do as a member?


It all depends on your interest, mood, and available time. Our association has passive members who support us primarily through donations, and active members who participate in the occasional meetings and events. Anyone who wants to contribute can choose what interests them most. We welcome everyone who wants to get involved. The association invites everyone to participate in our children's school life, to support them, to model social values, and to create and offer diverse opportunities for interaction. We therefore warmly invite you to support our work in the association by becoming a member, participating in the activities, and/or making a donation.
